1. Acceptance of Terms

By accessing or using any service offered by EG Engineering Group LLC ("Company," "we," "our," or "us"), you ("User," "Client," or "you") agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference.

If you are accessing our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms. In that case, "you" refers to that entity.

Use of the SOLIY platform to generate any document constitutes full acceptance of these terms, including all disclaimers and limitations related to AI-generated content set out in Section 3.

2. Services Description

EG Engineering Group provides quality engineering consulting services and AI-assisted document generation through the SOLIY platform. Services include but are not limited to:

• AI-assisted generation of quality documents including PFMEAs, DFMEAs, Control Plans, Work Instructions, CAPA/8D Reports, PPAP packages, and Audit Preparation materials
• Quality engineering consulting and document review by qualified engineers
• Free audit tool for compliance gap analysis of uploaded quality documents
• Ongoing subscription support for document creation and quality system management

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to active clients.

4. User Responsibilities

By using our services, you agree to:

• Provide accurate and complete information when submitting requests or generating documents
• Not submit any information you are not authorized to share, including information subject to third-party NDA or OEM confidentiality agreements, unless you have verified that sharing such information via our platform is permitted
• Not use our platform to generate documents intended to deceive, defraud, or misrepresent your quality systems to any customer, auditor, or regulatory body
• Not attempt to reverse engineer, scrape, or reproduce the SOLIY platform, its AI system, or any underlying technology
• Not share login credentials or grant unauthorized third-party access to the client portal
• Comply with all applicable laws and regulations in your use of our services and any documents generated
• Ensure that all SOLIY-generated documents are reviewed by a qualified engineer before use — see Section 3

5. Data Processing Consent

By submitting any form or document through our platform, you explicitly consent to the following data processing activities:

Anthropic, Inc. does not use API inputs to train or improve their AI models. Your data is processed in real time and is not retained by Anthropic beyond the duration of the API request. For full details, see our Privacy Policy.

6. Payment & Billing

• All fees are quoted in U.S. dollars. Payment is due upon invoice unless a subscription agreement specifies otherwise.
• Subscription services are billed monthly or annually as agreed. Subscriptions auto-renew unless cancelled with 30 days written notice before the renewal date.
• One-time project fees are due in full before delivery of final documents, unless otherwise agreed in writing.
• Refunds are not provided for completed document generation. If you are unsatisfied with a delivered document, contact us within 5 business days and we will revise it at no charge.
• We reserve the right to suspend access to the platform for overdue invoices after 15 days past due.

7. Intellectual Property

Your content: You retain full ownership of all information, data, and documents you submit to our platform. You grant EG Engineering Group a limited, non-exclusive license to process your submitted data solely for the purpose of providing the requested service.

Generated documents: Upon payment, you own the documents generated on your behalf. EG Engineering Group retains no rights to documents delivered to you.

Platform and technology: The SOLIY platform, its source code, design, AI prompt architecture, and all related technology remain the exclusive intellectual property of EG Engineering Group LLC. You may not copy, reproduce, reverse engineer, or create derivative works from any part of our platform.

8. Confidentiality

EG Engineering Group treats all client-submitted engineering data, process information, and business information as confidential. We will not disclose your proprietary information to any third party except as necessary to provide the service (as described in Section 5) or as required by law.

For clients who require a formal Non-Disclosure Agreement (NDA) before submitting proprietary information, contact us at eyob@egengineeringgroup.com. We are willing to execute mutual NDAs for enterprise engagements.

Note: It is your responsibility to verify whether your OEM customer agreements or internal policies permit the sharing of specific process data with third-party service providers. We do not assume responsibility for your compliance with OEM NDAs or data governance requirements.

9. Limitation of Liability

Our total liability to you for any claim arising from your use of our services shall not exceed the total amount paid by you to EG Engineering Group in the 12 months preceding the claim.

This limitation applies to all claims whether based in contract, tort, strict liability, or any other legal theory. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you in full.

10. Indemnification

You agree to indemnify, defend, and hold harmless EG Engineering Group LLC, its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising from: (a) your use of any AI-generated document without qualified engineering review; (b) your violation of these Terms; (c) your submission of data you did not have the right to share; or (d) your violation of any applicable law or third-party right.

11. Termination

Either party may terminate a service agreement or subscription with 30 days written notice. Upon termination:

• All outstanding invoices become immediately due
• Access to the client portal will be deactivated
• Any stored account data will be deleted within 30 days of termination upon written request
• Ownership of all previously delivered documents remains with the client

We reserve the right to terminate or suspend your access immediately without notice if you violate these Terms, engage in fraudulent activity, or use our services in a way that could harm our platform, other users, or third parties.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of our services shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules, conducted in Bronx County, New York. Each party bears its own legal costs unless the arbitrator determines otherwise.

13. Changes to These Terms

We reserve the right to update these Terms of Service at any time. When changes are made, the "Last Updated" date will be revised. For material changes — particularly those affecting liability, data handling, or payment — we will notify active clients by email at least 14 days before the changes take effect.

Continued use of our services after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to updated Terms, you must stop using our services and notify us in writing.
